Introduction & Acceptance of Terms Welcome to AdTree. These Terms of Service (“Terms”) govern your access to and use of the AdTree website, mobile application, and services (collectively, the “Platform”) provided by AdTree LLC (“AdTree,” “we,” “us,” or “our”). The Platform facilitates introductions and collaborations between individuals or entities offering content creation or creative/digital services (“Influencers” and “Creators”) and companies or individuals seeking promotional opportunities or creative services (“Brands”). By registering for an account or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must discontinue use of the Platform. We may modify these Terms at any time. Changes will be reflected in the “Last Updated” date, and continued use of the Platform constitutes acceptance of the revised Terms.
Definitions Platform: The AdTree website, mobile application, and related services. User: Any individual or entity registered on the Platform, including Brands, Influencers, and Creators. Influencer: A User offering social media promotional opportunities. Creator: A User offering creative or digital services such as design, illustration, animation, music production, editing, photography, and other creative work. Brand: A User seeking promotional or creative services from Influencers or Creators. Collaboration: Any project, contract, or agreement facilitated between Users through the Platform. Content: Any text, images, graphics, videos, audio, music, software, or other materials uploaded or shared on the Platform. User Content: Content posted, uploaded, or submitted by a User.
The AdTree Platform: Our Role AdTree provides a technology platform enabling Users to discover each other, communicate, negotiate, and establish agreements. AdTree does not produce creative work and is not a service provider. AdTree is not an employer, agent, manager, record label, or contractor. Users operate independently. Basic connection features may be offered at no cost; however, AdTree charges platform fees and commissions as described in Section 6. AdTree does not control, endorse, or guarantee the quality, legality, or delivery of any services provided by Users.
User Accounts & Responsibilities You must be at least 18 years old to use the Platform. You agree to provide accurate and complete information and maintain confidentiality of your account credentials. Influencers must accurately represent their audience metrics. Brands must accurately represent their business and project requirements. Creators must accurately represent skills, pricing, availability, and past work. AdTree does not independently verify User identity, audience metrics, or claims, and Users are solely responsible for the accuracy of their representations.
User Obligations & Conduct Users may not: engage in fraud or illegal activity; post misleading information; harass or harm others; infringe intellectual property rights; upload malware; use bots or automated systems; attempt to bypass security features; or promote hateful, violent, discriminatory, or pornographic content. Users must comply with applicable laws, including FTC disclosure guidelines for sponsored content and all intellectual property and consumer protection regulations. Users are responsible for their own tax obligations. AdTree does not withhold or remit taxes. Tax documents may be issued by Stripe.
Financial Terms & Collaborations Users are solely responsible for defining Collaboration terms, including deliverables, timelines, revisions, payment terms, licensing rights, and usage rights. Payments are processed exclusively through Stripe. By using the Platform for payments, you agree to Stripe’s Connected Account Agreement and authorize AdTree, through Stripe, to hold, disburse, or deduct funds according to Collaboration terms and Platform policies. AdTree does not store full payment card or bank details. Financial disputes between Users must be resolved between them. AdTree may assist but is not obligated to do so. Chargebacks follow Stripe’s policies. AdTree is not responsible for issuing refunds; refund eligibility depends on the User-to-User agreement. Non-Circumvention: For twelve (12) months after first contacting or collaborating with another User through AdTree, you agree not to conduct business off-platform, exchange payments outside the Platform, or solicit others to bypass AdTree. Violations may result in termination and recovery of applicable platform fees or damages. Chargebacks: Users causing chargebacks must reimburse AdTree for associated losses or fees. AdTree may freeze payouts or suspend accounts in cases of excessive disputes. AdTree is not responsible for off-platform communications or agreements. Only agreements documented within the Platform are enforceable by AdTree. Users must clearly define revision expectations and cancellation policies. AdTree is not responsible for missed deadlines or subjective dissatisfaction with creative work. Private Collaborations: AdTree allows Users to create private or invite-only Collaborations that are visible only to selected Users. Pricing and terms for private Collaborations may differ from public listings or offerings. Platform Fees and Commissions: AdTree charges a platform commission of up to twenty percent (20%) on each transaction completed through the Platform. This commission may be applied to one or both parties involved in a Collaboration, depending on the transaction structure. Applicable fees and commissions will be clearly disclosed to Users prior to transaction confirmation.
Intellectual Property Rights AdTree owns all rights to the Platform’s design, software, and trademarks. Users retain ownership of the Content they post. By posting Content, Users grant AdTree a worldwide, non-exclusive, royalty-free license to use and display such Content for the purpose of operating and promoting the Platform. Users may submit DMCA notices to [email protected] if they believe their copyright has been infringed. Repeat offenders may be removed. Content created for Collaborations belongs to Users according to the agreement they establish. AdTree does not define or enforce these rights. Unless otherwise agreed in writing between Users, Creators retain ownership of their work and grant Brands a limited, non-exclusive license to use delivered Content solely for the agreed Collaboration.
Privacy Your privacy is protected according to our Privacy Policy. By using the Platform, you consent to our data practices. You may request account deletion by contacting [email protected]. Some data may be retained as required by law.
Disclaimers & Limitation of Liability The Platform is provided “as is” and “as available.” AdTree disclaims all warranties, express or implied. We do not guarantee uninterrupted service, error-free operation, or successful Collaborations. To the fullest extent permitted by law, AdTree shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the total amount of fees paid by you to AdTree in the six (6) months preceding the claim.
Indemnification You agree to indemnify and hold harmless AdTree and its affiliates from any claims, damages, or expenses arising from your use of the Platform, your breach of these Terms, your Collaborations, or your violation of third-party rights.
Termination AdTree may suspend or terminate your account at any time, without notice, for conduct violating these Terms. You may terminate your account at any time. Termination does not relieve Users of outstanding obligations, including unpaid fees or chargeback liabilities.
Governing Law & Dispute Resolution These Terms are governed by Florida law. Any dispute must be resolved through final and binding arbitration administered by the American Arbitration Association (AAA). Users waive the right to participate in class-action lawsuits or jury trials.
Miscellaneous These Terms constitute the entire agreement between you and AdTree. If any provision is found unenforceable, the remaining provisions will continue in effect. Failure to enforce any right does not waive future enforcement. AdTree may introduce or adjust Platform fees at any time with notice; such fees are non-refundable unless explicitly stated.
